QuoteShield

These terms are the agreement between you and Apex Root Solutions LLC for the QuoteShield app. They cover what you may do with it, what the Pro subscription buys, and — importantly for an app about contracts and money — what QuoteShield's records and comparisons are, and what they are not.
QuoteShield is published by Apex Root Solutions LLC, a limited liability company organised under the laws of the State of Delaware, with its registered office in Wilmington, New Castle County, Delaware, and its principal place of business in Cedar Hill, Dallas County, Texas. "We" and "us" mean that company; "you" means the person using the app. By installing or using QuoteShield you accept these terms.
You must be old enough to form a binding contract where you live, and at least 13.
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use QuoteShield on devices you own or control, for your own household projects, under these terms and the rules of the app store you got it from. You may not copy, modify, reverse-engineer, resell or redistribute the app, except where the law allows it regardless of this clause.
QuoteShield is a record-keeping and organising tool. It stores what you enter, arranges it, does arithmetic on it, and points out gaps and inconsistencies using rules that are listed inside the app. You should understand the following before relying on it:
Everything you enter, photograph or import into QuoteShield remains yours and stays on your device. We do not receive it and claim no rights in it. You are responsible for having the right to store the documents and photographs you import, and for anything you share out of the app.
You agree not to use QuoteShield to harass, defame or deceive anyone, to fabricate records for use against another person, or in any way that breaks the law. The app's reports state facts you recorded; how you use them is your responsibility.
The free tier lets you keep one project with two quotes, compare those two quotes, and read, search, back up, restore and delete everything you have entered. QuoteShield Pro is an auto-renewing subscription that removes the creation limits and adds agreements, change orders, invoices and payment tracking, progress and completion records, warranties, disputes, comparison snapshots, and PDF reports and exports.
Plans and price. Pro is offered monthly or yearly. The price for your country is shown in the app and in the store before you subscribe. It is sold and billed by Apple (App Store) or Google (Google Play) under their terms, to the store account you subscribe with.
Free trial. New subscribers may be offered a 7-day free trial. You will not be charged if you cancel before the trial ends. If you do not cancel, the plan you chose begins automatically at the end of the trial and you are charged its price. Trial eligibility is decided by the store; one trial per store account.
Automatic renewal. The subscription renews automatically at the end of each period, at the plan price then in force, until you cancel. Your store account is charged for the renewal within 24 hours before the end of the current period. You can cancel at any time from your Apple ID or Google Play subscription settings (also reachable from Settings → Manage subscription in the app); cancellation takes effect at the end of the current period, and no partial refunds are given for the unused part of a period. Any unused part of a free trial is forfeited when you subscribe. Refund requests are handled by Apple or Google under their policies.
Price changes. If a plan's price changes, the store will tell you in advance and, where the store requires it, ask for your consent before the new price applies.
When a subscription ends. When a trial or subscription lapses, the app becomes read-only for the Pro records you created: you can still open, search, back up, restore and delete every one of them, and you keep the free tier. Nothing you have entered is ever hidden, locked or deleted because a subscription ended or could not be checked.
Checking with the store. The app checks the subscription with the store from time to time. If it cannot reach the store, Pro continues to work for a grace period; after that, only the creation and editing of Pro records is paused until a check succeeds. "Restore subscription" in Settings re-checks with the store.
Because your data exists only on your device, it is lost if the device is lost, reset or the app is deleted, unless you have made a backup. The app can export an encrypted backup file that you store where you choose. If you set a password on the app or a backup, we cannot recover it; there is no reset. You are responsible for keeping backups and passwords safe.
We may update, change or discontinue features of the app. Because the app works without our servers, an installed version keeps working as built. We are not obliged to provide updates.
You may end it at any time by deleting the app. We may end it if you breach these terms. Sections 4, 5, 10 to 13 and 16 survive.
QuoteShield is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and any warranty that the app's calculations, comparisons, flags, reports or reminders are accurate, complete or suitable for any decision. Nothing in the app is a substitute for reading your own contract or for professional advice.
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost money, lost data, a missed deadline, a contractual dispute or a decision made in reliance on the app. Our total liability for all claims relating to the app is limited to the greater of the amount you paid us for QuoteShield in the twelve months before the claim, or twenty-five United States dollars. Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
You agree to indemnify and hold us harmless from claims, damages and reasonable legal costs arising from your misuse of the app, your breach of these terms, or content you stored or shared that you had no right to.
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You and we submit to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer, this does not deprive you of the protection of mandatory laws of the country where you live, or of the right to bring proceedings there where such a right cannot be waived.
On Apple platforms, this agreement is between you and us, not with Apple. Apple has no obligation to provide support for QuoteShield. Apple is not responsible for the app or for any claim relating to it, including product liability, any failure to conform to a legal requirement, or a third-party intellectual property claim; any such claim is our responsibility. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You confirm you are not located in a country subject to a United States embargo or designated as terrorist-supporting, and are not on a prohibited-parties list.
On Android, this agreement is between you and us, not with Google. Google is not responsible for the app or for any claim relating to it, and does not provide support for it. Your use of Google Play is governed by Google's own terms.
These terms are the entire agreement between us about QuoteShield. If a provision is unenforceable, the rest stands. Our not enforcing something is not a waiver of it. You may not assign this agreement; we may assign it to a successor in connection with a merger or sale of the business. We may update these terms, and will change the date at the top when we do; continuing to use the app after a material change means you accept it.
